Delaware has very attractive company laws, meaning all the big companies you heard about, including Lil Dicky’s, incorporate there. According to this filing, however, his company is actually registered in California.
For example, 1209 North Orange, Wilmington, DE, is the legal address of no fewer than 285,000 separate businesses. Its occupants, on paper, include giants like American Airlines, Apple, Bank of America, Berkshire Hathaway, Cargill, Coca-Cola, Ford, General Electric, Google, JPMorgan Chase, and Wal-Mart.
However, if you end up incorporating in Delaware, but primarily do business in another state, such as California, then you would have to pay the additional foreign corporation fees in California. In this case, the benefits of Delaware corporate law (favorable judiciary and legislature) aren’t exactly worth the additional expenses.
This entire song is about saving money. The number 1 lesson every law student gets in Civil Procedure, Corporations, Business Association, or Corporate Tax is “if your client is a Corporation you need to make sure you are fully aware of where you file the companies Articles of Incorporation”.
In essence, where you file the Articles of Incorporation will determine where the corporation may be sued. In order to have jurisdiction over a corporation the Supreme Court has held that personal jurisdiction over a corporation exists in (1) the state in which the corporation is incorporated; (2) the state in which the corporation has its principal place of business; and (3) in an exceptional case any state in which the corporation’s operations are so substantial that it also is “at home” in that additional state (or states).
Now, the reason Delaware contributes to the theme of saving money is because Delaware is a very well known Corporate Friendly State (See:
)Essentially a majority of the Fortune 500 Companies and many large companies incorporate in Delaware to
receive benefits and save money. Now, it is important to note that incorporating in Delaware might not be worth it for a small privately held corporation. But even though Delaware might not be good for small companies, Delaware is still a better option than incorporating in California, since California has a reputation for not being Corporate friendly and has fallen in the list of worst states to incorporate since corporations lose a lot of money due to state taxes and the laws are not so corporate friendly ( see:
So, when Lil Dicky requests to know why “tf” his company is in Delaware, his question is a rhetorical one, because he doesn’t need an answer. He knows it is in Delaware because this saves him money and by throwing these lyrics out he educates those that aren’t aware of the benefits of incorporating in Delaware about the benefits! #Genius
