What’s WhatsApp?
It’s a cross-platform messaging app that allows you to instant message (in the form of text, picture, video or audio!) your buddies who have different phones than you.
Terms:
- $4 billion in cash
- $12 billion in Facebook shares
- Additional $3 billion in vesting restricted stock units for the WhatsApp team over the next four years.
Details:
- 35% of Facebook’s cash is being used for this deal
- 1 venture capital firm, Sequoia Capital, currently owns shares in WhatsApp
- Sequoia will make roughly $3.4 billion on the deal
- A termination fee is attached to the deal that would cost Facebook $1 billion in cash and $1 billion in shares if the deal fails to pass regulatory muster
Whoa whoa:
- For the grand total of $19 billion, Facebook could have acquired Gap, Chipotle, or Marriott
- To put this in perspective, Facebook paid $1B for Instagram in 2012 and offered around $3B for Snapchat in late 2013 (which was turned down for reasons that are still unclear, but possibly related to Facebook trying to clone Snapchat with their “Facebook Poke” app)
